As the human cost of the novel coronavirus (COVID-19) continues to escalate, so too does the commercial and economic impact across the Globe. Stock market rollercoasters and supply chain disruptions, have been felt Worldwide. Many manufacturers, retailers, transport providers, hotels and restaurants have already experienced significant financial strain. Commodity prices have also come under pressure, from oil and gas through metals, to raw materials and foodstuffs.

During the past weeks, lawyers have had an increasing number of enquiries from clients on a daily basis as to how to manage force majeure risk, contractual suspensions, terminations and breaches, as well as workforce management, including the possibility to suspend or even dismiss workers due to business closures, as a result of isolation quarantines ordered by the different Governments.

As part of ALFA International COVID-19 webinar series, this webinar will explore the impact of the pandemic in Latin America. Legal experts from Argentina, Brazil, Chile and Mexico shall analyze the situation in each jurisdiction and suggest strategies so as to help clients and colleagues with interests in LATAM, navigate their way around the different issues.

Panelists:

PABLO F. FERRARO-MILA is one of the founding partners of Gonzalez & Ferraro Mila – Casir • Di Iorio • Melhem, the ALFA International member for Argentina. Pablo specializes in Mergers and Acquisitions, Corporate and Project Finance, Engineering and Construction Projects and International Business Transactions. Before forming GFM in 2005, he was a partner with a major law firm in Argentina and had worked with Cravath, Swaine & Moore in New York and with Allen & Overy in London. Pablo is admitted to the Buenos Aires Bar, to the New York Bar and as a Solicitor in England and Wales. He also received a Master of Comparative Jurisprudence Degree from New York University School of Law as a Fulbright Scholar. He has been ranked as leader in the “Corporate/M&As” field in Argentina, both by Chambers and Partners Global and Latin America editions. He is also a frequent contributor to specialized publications and author of the book “The Transfer of Control Shareholdings”, published by LexisNexis. He is an active member of the American Bar Association and of the International Division of The Law Society of England and Wales. In addition to his native Spanish, he is fluent in English, French and Portuguese.

FERNANDO JAMARNE joined Alessandri in Santiago de Chile as a partner in 2001. His practice covers a wide range of business topics, specialized in business and financial transactions. In addition, he structures international transactions for local and foreign clients, provides advice on company mergers and acquisitions, and has extensive experience in banking legislation and corporate finance. He participated in the privatization process of water companies. Has extensive experience in public bids as well as bond issuance and syndicated loans. Before joining Alessandri Abogados, Mr. Jamarne was the General Counsel of The Chase Manhattan Bank, Chilean Branch Office; was an international advisor to BankBoston in Boston, Massachusetts; worked as lawyer for the World Bank’s Central America and the Caribbean Region, in Washington D.C.; and as a lawyer for the Central Bank of Chile’s General Counsel´s Office. He was a visiting lawyer at Cleary, Gottlieb, Steen & Hamilton in New York in 1986, after obtaining his Master of Laws. Fernando Jamarne is a director in numerous leading companies in the services, communications, insurance and financial industries.

JAVIER LIZARDI is a founding partner of Von Wobeser y Sierra, S.C., a Mexico City law firm that is a member of ALFA International. He specializes in mergers and acquisitions and is head of the Corporate Law area. As a partner of the firm he is also responsible for the Immigration Law practice as well as Foreign Investment. He has handled acquisitions, mergers and spin-offs of companies in various lines of business, liquidated companies and closed industrial plants. He was an adjunct professor in Commercial Law (commercial companies) in the Escuela Libre de Derecho in the years 1983-1992, a professor of the Foreign Investments module in the Universidad Panamericana in 1998 and has been a speaker in conferences on Corporate Law and Labor Law on numerous occasions.  Mr. Lizardi is a graduate of the Escuela Libre de Derecho of Mexico City receiving his law degree in 1983.

MARTA RODRIGUES is a partner in the Corporate Law and Commercial Law practice groups of L.O. Baptista Advogados, the ALFA International member for Brazil. Her areas of practice include Corporate, Mergers and Acquisitions, Foreign Investments and Contracts. She represents clients from several industry sectors in startup and M&A projects, acting in the execution and negotiation of a number of contracts. Also acts in operations involving different types of foreign investments in the country. She worked at the New York based law firm Grant Hermmann Schwartz & Klinger from 1998 to 1999, assisting Brazilian clients in their operations in the USA. Recommended as a ‘prominent lawyer’ in Corporate and M&A in Latin Lawyer 250 2017. She specialized in Tax Law from Centro de Extensão Universitária, 1997, and has taken International Private and Public Law Courses from The Hague Academy of International Law, 1994. Graduated from Pontifícia Universidade Católica de São Paulo, 1993. Fluent in Portuguese and English.
